Petros Wyoming Fund I, LLC (the “Fund”) is a $5 million Wyoming-based investment fund. The mission of the Fund is to encourage, and assist in the creation, development, and expansion of Wyoming qualified business, by providing them access to both capital, and operational expertise. In general, the Fund seeks to expand employment opportunities in Wyoming, thereby promoting the growth of the State’s economy. An emphasis will be placed upon small business enterprises, which traditionally have had difficulty attracting necessary growth capital.

Investment Profile :

  • Investments will primarily provide bridge and/or growth capital to growing, profitable or near profitable companies, in the underserved lower middle market
  • Primarily senior and mezzanine debt, with possible warrants and/or equity features
  • Typical deal will have a 2 to 3 year term with no prepayment penalty
  • Interest rate and amortization TBD
  • Target investment size of $250,000 to $1,000,000
  • Can syndicate larger, quality deals with other similar firms
  • Preservation of capital is the first priority
  • Adequate cash flow to service the loan
  • Collateral (IP, A/R, Inventory, Equipment, and/or Personal Guarantee)
  • Industries include but not limited to the following: mining, oil and gas, constructions, manufacturing; wholesale trade; technology; and communications.

Minimum Requirements for Qualified Business Seeking Capital :

  • Is independently owned and operated; not publicly traded or an affiliate thereof
  • Is headquartered in Wyoming, its principal operations are located in Wyoming, at least 60% of the employees are employed in Wyoming or the business has committed in writing to move to Wyoming as a condition of the investment
  • Has 100 employees or less
  • Is not a franchise of and has no financial relationship with a Wyoming small business investment company or any affiliate of a Wyoming small business investment company prior to an investment being made
  • Is not predominantly engaged in: professional services provided by accountants, doctors, or lawyers; banking or lending; insurance; direct gambling activities; or making loans to or investments in a Wyoming small business investment company
  • Investment must not have a final stated maturity or be subject to mandatory redemption or repurchase prior to 2 years from the date of initial investment
  • Not more than 50% of an investment is used to refinance existing debt
  • Shall not include any investment that results or could result, in a Wyoming small business investment company owning 50% or more of the voting or non-voting stock of a qualified business
